Persistent Systems to Acquire Germany's Nagarro in Landmark $1.4 Billion Deal

MUNICH and PUNE — In a major consolidation move within the global IT services sector, India-based Persistent Systems has announced a definitive agreement to acquire Germany-headquartered digital engineering firm Nagarro in a transaction valued at approximately $1.4 billion. The landmark cross-border deal is poised to create a global technology powerhouse, significantly expanding Persistent's footprint in Europe while bolstering its enterprise software development and digital transformation capabilities.

The acquisition represents a highly strategic alignment of complementary strengths. Persistent Systems, renowned for its cloud-native application development and enterprise modernization services, will integrate Nagarro’s extensive European client base and specialized expertise in automotive, retail, and industrial manufacturing. Nagarro, which was spun off from Allgeier SE in 2020 and listed on the Frankfurt Stock Exchange, employs over 19,000 professionals globally, with a particularly strong delivery presence in Central Europe and India.

"This acquisition represents a watershed moment in our growth journey," said Sandeep Kalra, Chief Executive Officer and Executive Director of Persistent Systems. "By combining Nagarro’s exceptional digital engineering pedigree and its unique, client-centric organizational culture with our robust enterprise offerings, we are positioning ourselves to deliver unparalleled value to our global clients. Together, we will possess the scale and capability to compete for the largest digital transformation contracts in the industry."

Strategic Objectives of the Merger

  • Enhanced European Footprint: The acquisition immediately establishes Persistent as a Tier-1 IT partner in the lucrative DACH (Germany, Austria, Switzerland) region, where Nagarro has historically maintained deep enterprise relationships.
  • Diversified Industry Portfolio: The combined entity will boast a more resilient, diversified revenue stream across healthcare, financial services, automotive, telecommunications, and manufacturing sectors.
  • Synergistic Talent Pool: Integrating Nagarro's global talent pool will help Persistent mitigate ongoing tech talent shortages, optimizing offshore, nearshore, and onshore delivery capabilities.

Industry analysts view the $1.4 billion transaction as a sign of intensifying consolidation in the mid-tier IT services market, where companies are seeking rapid scale to compete with industry giants. "Joining forces with Persistent allows us to accelerate our vision of being a leading global force in digital engineering," stated Manas Fuloria, co-founder of Nagarro. "The cultural alignment between our organizations, particularly our shared focus on innovation and agility, makes this partnership a natural next step for our employees and stakeholders alike."

The transaction is subject to customary regulatory approvals, including antitrust clearances in Germany and other relevant jurisdictions, as well as approval from Nagarro's shareholders. Financial advisors expect the transaction to close within the next two fiscal quarters, after which the companies will begin a phased integration of their operations and brand portfolios.
