Germany’s Merck Strengthens Life Sciences Division with $11.3 Billion Bio-Techne Acquisition

German science and technology giant Merck KGaA has announced a definitive agreement to acquire Minneapolis-based Bio-Techne Corporation in an all-cash transaction valued at $11.3 billion. The blockbuster deal represents a major consolidation in the global life sciences tools sector, positioning Merck to significantly expand its portfolio of high-growth bioprocessing and diagnostic products. By integrating Bio-Techne’s specialized reagents, proteins, and premium antibodies, Merck’s Life Science business unit—already a global powerhouse under its MilliporeSigma banner—will deepen its reach into the rapidly growing cell and gene therapy markets.

The acquisition aligns with Merck’s long-term "Big 3" growth strategy, which prioritizes high-yield investments in its Life Science, Healthcare, and Electronics business sectors. Bio-Techne, known for its industry-standard brands such as R&D Systems and Novus Biologicals, provides critical biological components used heavily in academic research and pharmaceutical development. Financial analysts note that the deal will allow Merck to offer a more comprehensive, end-to-end workflow to biotechnology companies, particularly in early-stage drug discovery and clinical diagnostics. Over the last decade, the life sciences tools market has seen robust expansion, driven by a global push toward biological therapies and personalized medicine.

"This acquisition is a transformative milestone for our Life Science business," said Belén Garijo, Chair of the Executive Board and CEO of Merck KGaA. "Bio-Techne’s highly complementary portfolio of specialized reagents and analytical instruments will allow us to deliver even greater value to our global scientific and pharmaceutical partners, accelerating the development of next-generation therapeutics." The transaction, which has been unanimously approved by the boards of directors of both companies, remains subject to regulatory clearances and customary closing conditions, with completion anticipated in the coming months.

Industry observers view this $11.3 billion transaction as a decisive move by Merck to maintain a competitive edge against rivals like Thermo Fisher Scientific and Danaher Corporation, both of which have aggressively expanded their respective life science footprints through major acquisitions. For Bio-Techne, the deal offers the vast scale and established global distribution network of a European multinational to maximize the market penetration of its proprietary diagnostic tools. Upon regulatory approval, the integration is expected to yield substantial operational synergies and immediately accrete to Merck’s long-term earnings growth.
